To optimize a legal structure of Centravis holding the shareholders’ meeting of CJSC UVIS-Capital has made a decision of the Company liquidation

Today at the meeting of CJSC UVIS-Capital shareholders the decision about the Company liquidation was made. The purpose of the decision is to simplify the structure of the ownership of CJSC Centravis Production Ukraine (facilities of Nikopol stainless tube mill), reduce the volume of documents circulation and optimize the legal structure. When the procedure of CJSC UVIS-Capital liquidation is terminated, the international holding Centavis Ltd will be the 100% owner of CJSC Centravis Production Ukraine.
The decision about liquidation of CJSC UVIS-Capital just consolidates de jure that has been already de facto. Anyway even before shareholders’ meeting Centravis Ltd has already possessed all the shares of CJSC CPU: 62,03% of shares belonged to it directly, other 37,97% of shares — indirectly, via CJSC UVIS-Capital that was the part of the holding structure. Today it was actually decided to exclude a mediated unit from the structure; as a result Centravis Ltd will become the direct 100% owner of its own CJSC CPU production base.

The liquidation of CJSC UVIS-Capital is a planned measure and is aimed at holding legal structure optimization”.
History of Centravis holding
In 2000 LLC PCC UVIS established CJSC Nikopol stainless tube mill on the basis of the hot-extrusion shop No. 4 and the cold-drawing shop No.2 of the former Nikopol Yuzhnotrubniy Plant.
September 24, 2007 the international holding Centravis Ltd was established, it embraces production facilities of Nikopol stainless tube mill and a ramified network of trade companies and agents in Western Europe, USA and the CIS countries.
October 16, 2007 CJSC Nikopol stainless tube mill was renamed to CJSC Centravis Production Ukraine (CPU).
July 12, 2002 CJSC UVIS-Capital was established by the way of contributing the shares of CJSC Centravis Production Ukraine into authorized capital of the company.
February 26, 2009 in order to simplify the structure of the ownership the decision about CJSC UVIS-Capital liquidation was made. After the liquidation the international holding Centravis will become the direct 100% owner of CJSC Centravis Production Ukraine (facilities of Nikopol stainless tube mill).
